Reference is made to the Notice of 24th AGM of the Company dated 20 August 2021 and the announcement by the Government of Malaysia on 14 June 2021 in relation to the implementation of the National Recovery Plan (“NRP”) and relevant SOPs issued by Majlis Keselamatan Negara for phases under the NRP.

Pursuant to the implementation of the NRP, the Securities Commission Malaysia had on 16 July 2021 issued a revised Guidance Note and FAQs on the Conduct of General Meetings for Listed Issuers which was originally issued on 18 April 2020 (“The Revised Guidance Note”).

The Revised Guidance Note states that listed issuers are only allowed to conduct fully virtual general meetings during Phase 1 of the NRP. In a fully virtual general meeting, all meeting participants including the Chairperson of the meeting, Board members, senior management, and shareholders participate in the meeting online. Physical gathering irrespective of size is prohibited.

According to the Revised Guidance Note, an online meeting platform can be recognised as the meeting venue or place under Section 327(2) of Companies Act, 2016 if the online platform is located in Malaysia.

The Board of Directors of QLR, having given due consideration to the above, wishes to inform that Broadcast Venue of the 24th AGM of the Company shall be changed from QL Training Hall, No. 16A, Jalan Astaka U8/83, Bukit Jelutong, 40150 Shah Alam, Selangor to the Online Meeting Platform via TIIH Online website at https://tiih.online as provided by Tricor Investor & Issuing House Services Sdn. Bhd. in Malaysia.

Apart from the change in venue, all information in the Notice of 24th AGM of the Company dated 20 August 2021 and the Administrative Guide to the 24th AGM issued on 20 August 2021 remains unchanged.
