Winding Up / Receiver & Manager / Restraining Order / Special Administrator

The Board of Directors of QL Resources Berhad ("QLR" or "the Company") wishes to announce that PT QLNutri Foods Indonesia (“QLNF”) Deed of Establishment No. 68 dated 27 July 2017, passed before Notary Siti Nurul Yuliami S.H., M.Kn., Notary in Surabaya, whose deed has been approved by the Ministry of Law and Human Rights by its decree No. AHU-0032738.AH.01.01.TAHUN 2017, a wholly-owned subsidiary of QLR has convened an Extraordinary General Meeting on 15 December 2023 (“EGM”) on matters relating to members' voluntary winding up in accordance with the Article 143 of Law No. 40 of 2007(“Winding Up”).

QLNF is a private limited company incorporated in Indonesia and its principal activity is trading, importing and supplying surimi and surimi-based products. QLNF has not commenced operation since its incorporation and has no intention to carry out any operational activities going forward.

Mr. Daris Salam c/o Incorp Indonesia, PT. Cekindo Business International of AXA Tower 36th Floor, Kuningan City Jl. Prof. Dr. Satrio Kav 18, Kuningan, South Jakarta,  Indonesia 12940 had been appointed as the liquidator of QLNF on 15 December 2023 (the “Liquidator”) vide the EGM.

The Winding Up of QLNF and the appointment of the Liquidator will not have any financial and operational impact on QLR and its Group for the financial year ending 31 March 2024.

None of the Directors and/or major shareholders of QLR and/or persons connected with them have any interest, direct or indirect in the Winding Up of QLNF.
